Now that the plan has passed, what does it mean to small business? Really, quite a bit, as the new benefits of the new provisions are significant.<br><br>Although individual <a href="http://www.artwoo.com/tag/tax+rebates" rel="tag">tax rebates</a> are the main point of the plan, other provisions which intend to increase creation of jobs offer <a href="http://www.artwoo.com/tag/business+tax+incentives" rel="tag">business tax incentives</a> which small businesses should have a look at. Although some economists have cast doubts on the overall effectiveness of stimulus plans for improving the overall economy, the benefits to small businesses are apparent, and your business should make the most of the offerings.<br><br>It's clear that for a government or a business, it is important to take in at least as much revenue as it spends. The incentives offered make business spending easier by reducing the tax burden associated with these expenses. The most important impacts could be the new provisions regarding depreciation and equipment. The <a href="http://www.artwoo.com/tag/stimulus+package" rel="tag">stimulus package</a> has two main points that directly affect small businesses:<br><br>Congress has raised the amount which small businesses can write-off for 2008 investments by 100%, from $125,000, to a quarter million. In other words, an additional $125,000 can be written-off immediately instead of depreciating over time. In addition, it raises the cap on businesses which are included, raising the level of total sale value up to $800,000. This figure is significantly raised from the previous level of <a href="http://www.artwoo.com/tag/half+a+million" rel="tag">half a million</a> dollars.<br><br>Another factor in the stimulus plan is referred to as, '<a href="http://www.artwoo.com/tag/bonus+depreciation" rel="tag">bonus depreciation</a>,' or '<a href="http://www.artwoo.com/tag/accelerated+depreciation" rel="tag">accelerated depreciation</a>.' This provision lets small businesses invest in new equipment and write-off half of the costs in 2008.<br><br>For example, if a business pays three-quarter million dollars on new equipment in '08, it is allowed to completely write of the first quarter-million, as per provision one. The remaining amount could then be written-off at 50%, leaving the remaining quarter-million for depreciation. So - the initial $250,000 is a write-off, and the next $250,000 as well; add on the depreciation in the first year, $25,000, for example. If a business doesn't spend more than $250,000, it is able to write-off the entire amount, eliminating the need to maintain depreciation records for the following five to seven years.<br><br>Many business owners will be granted a full deduction for their normal purchase expenses for items such as machines, equipment, cars, etc.. Usually the deduction is allowed even if the purchases are fully or partially financed. This could be an excellent time for your small business to invest in Internet technology infrastructure.<br><br>The ultimate value to small business will be lowered taxable income and a smaller tax burden. Businesses are encouraged to make investments now, as opposed to waiting several years. When adding the indirect benefits of consumers spending their rebates, and the scenario which the economic stimulus plan creates looks bright. The Intellectual Property being purchased can consist of copyrights, trademarks, <a href="http://www.artwoo.com/tag/moral+rights" rel="tag">moral rights</a>, and/or patents. (Moral rights are recognized in Europe, but not the United States. Thus, a transfer of moral rights would only be applicable in an international agreement.) As opposed to an <a href="http://www.artwoo.com/tag/ip+license" rel="tag">IP License</a> Agreement, the purchaser or assignee in an IP Transfer Agreement takes total and exclusive ownership and control of the IP rights, and is free to use those rights however he or she wishes.<br><br>When drafting an IP Agreement, be sure to consider including the following provisions:<br><br>1. Assignment and Waiver of Moral Rights. Moral rights, recognized in Europe but not the U.S., involve general rights in respect to the intellectual property. In this provisions, the <a href="http://www.artwoo.com/tag/assignor" rel="tag">assignor</a> must irrevocably and in perpetuity waive, in favor of Assignee, all moral rights in and to the transferred intellectual property, including the following:<br><br>* a. The right to restrain or claim damages for any distortion, mutilation, or other modification of the transferred IP;<br>* b. The right to be associate with the transferred IP; and<br>* c. The right to restrain use or reproduction of the transferred IP<br>* d. This waiver shall be binding upon the heirs, executors, employees, directors and all successors involved in the creation of the IP.<br><br>2. Representations and Warranties. It is important to include a representations and warranties paragraph in the agreement where the assignor promises that it has the full authority to assign the transferred intellectual property, free and clear of any material encumbrances, liens, or claims against the property. The assignor must also promise that it has the full authority to waive all moral rights.<br><br>3. Non-disclosure. The assignor should promise, for itself, its officers, directors, shareholders, etc., that it agrees that, except with the assignee's express prior written consent, that it will not disseminate, disclose, or use, or permit to be used, any of the transferred intellectual property, since upon execution of the agreement the IP is property of the assignee.<br><br>4. Damages Inadequate. The assignee may want to include a provision whereby the assignee must concede that damages at law by itself may not be an adequate remedy for a breach of the agreement. In the event of a breach, the assignee's rights may be enforceable by specific performance, injunction, or other equitable remedy, as opposed to remedies at law.<br><br>5. Assignment of the Agreement. The assignee may wish to require their prior written consent before the assignor is allowed to assign the agreement to a third party.<br><br>6. Governing Law. The parties should agree which state will govern the agreement, and if they desire, could include a binding arbitration provision in an effort to seek a speedy resolution to any dispute.<br><br>These are the key provisions that must be included in an Intellectual Property Agreement.     <content:encoded><![CDATA[Can a Step Child make a Family Provisions Claim?<br><br>Step Children do not have an automatic right to approach the Court for provision from the estate of a <a href="http://www.artwoo.com/tag/deceased+parent" rel="tag">deceased parent</a>; they are not automatically '<a href="http://www.artwoo.com/tag/eligible+person" rel="tag">eligible person</a>s'.<br><br>Step Children are not prohibited from making a Family Provisions Claim, however they must establish that they are an 'eligible person', namely that they are:<br><br>A person<br><br>(i) Who was, at any particular time, wholly or partly dependent upon the <a href="http://www.artwoo.com/tag/deceased+person" rel="tag">deceased person</a>, and<br><br>(ii) Who was at that particular time or at any other time, a member of a household of which the deceased person was a member<br><br>What must be established here is that such a person was dependant on the deceased.<br><br>If it can be shown that you are dependent on the deceased, and you were at some <a href="http://www.artwoo.com/tag/point+in+time" rel="tag">point in time</a>, part of the deceased's household, you may be able to succeed in a Family Provisions Claim.<br><br>My Grandparent passed away, can I claim on their estate?<br><br>Grandchildren do not have an automatic right to approach the Court for provision from the estate of a deceased grandparent; they are not an automatic '<a href="http://www.artwoo.com/tag/eligible+persons" rel="tag">eligible persons</a>'.<br><br>Grandchildren are not prohibited from making a Family Provisions Claim, however they must establish that they are an 'eligible person', namely that they are:<br><br>A person<br><br>(i) Who was, at any particular time, wholly or partly dependent upon the deceased person, and<br><br>(ii) Who is a grandchild of the deceased person<br><br>What must be established here is that such a person was dependant on the deceased. This means both a financial and <a href="http://www.artwoo.com/tag/emotional+dependency" rel="tag">emotional dependency</a>, however generally an award will only be made when the role of the grandparent is more akin to a parental role. Occasional <a href="http://www.artwoo.com/tag/financial+gifts" rel="tag">financial gifts</a> do not qualify.<br><br>If it can be shown that you are dependent on the deceased, and you were a grandchild of the deceased, you may be able to succeed in a Family Provisions Claim.<br><br>What elements are needed to establish dependency?<br><br>Generally the Court will look at the financial dependency of an applicant on the deceased. This ranges from paying for education to regular purchase of clothing or some other form of monetary assistance.<br><br>The Courts have determined that financial assistance is the most common form of dependency however recent decisions have identified that emotional dependence will be taken into consideration.<br><br>In Ball v Newey (1988) 13 NSWLR 489, Samuels JA said:<br><br>"While it is true that here we are concerned with financial dependency and not emotional dependence, the whole relationship between the appellant and the deceased must be examined"<br><br>In Petrohilos v Hunter (1991) 23 NSWLR 559, Hope A-JA said:<br><br>"The word "dependent" is an ordinary English word, and whether a person is or has been wholly or partly dependent upon another is a question of fact. No doubt one of the commonest forms of dependence is a financial one, in the sense that the dependence flows from the fact that accommodation, food, clothing and other necessities or amenities of life are provided by the person who owns or is otherwise entitled to the accommodation and pays for the other things. But I do not think that the word, as used in the statute or otherwise, has this very limited meaning. In ordinary parlance, young children are properly and commonly said to be dependent on their mother as well as their father, regardless of where the money comes from. A contrary view, that young children are not dependent on their mother if she has no independent means, seems to me to be a misuse of language. This accords with what Samuels JA said in Ball v Newey (1988) 13 NSWLR 489 at 491, that "'Dependent' in the ordinary sense of the word, means the condition of depending on something or on someone for what is needed"."<br><br>"Surely a mother's services to a young child satisfy the test. The child could not survive without the provision of those services; he or she needs them. To suggest that, in a money sense, they are valueless, is simply wrong."<br><br>"The same considerations apply to a step-child or his or her step-mother, when the child lives with the step-mother and is looked after by her. I appreciate that a different view has been taken by others, as for example, by Powell J in Dunn v Public Trustee (Powell J, 1 June 1989, unreported), but I would respectfully disagree with that view. In my opinion the plaintiff was partly dependent upon the deceased, certainly for many years of her childhood and probably until her marriage, although no doubt her dependence diminished in the latter years of this period"<br><br>If it can be shown that you are dependent on the deceased you may be able to succeed in a Family Provisions Claim. This situation forms a Constructive Trust, and where you have suffered detriment in upholding your side of the bargain, such as time and labour, and the detriment is proven, the Courts have determined that the bargain is valid and you will be entitled to the variation of the Will.<br><br>My Step Mother and Father had similar Wills, she has now changed hers.<br><br>There may be situations where in anticipation of death a parent and a step parent make Mutual Wills. Their Wills are made in contemplation of each other and have identical terms and paragraphs. This is done in protection of the step children.     <content:encoded><![CDATA[As tax preparation time begins, many <a href="http://www.artwoo.com/tag/seniors" rel="tag">seniors</a> are asking to include <a href="http://www.artwoo.com/tag/medicaid+asset+protection" rel="tag">Medicaid asset protection</a> as part of their tax planning strategies. For those of you not familiar with the 2005 Tax Reduction Act, some of the provisions address specific transfers by seniors under the new Medicare <a href="http://www.artwoo.com/tag/nursing+home" rel="tag">nursing home</a> provisions. Under the new provisions, before a senior qualifies for <a href="http://www.artwoo.com/tag/medicare+assistance" rel="tag">Medicare assistance</a> into a nursing home, they must spend-down their assets. These new restriction have a 5 year look-back, used to be 3 years. And used to be that each spouse had a one-half interest in the marital property, it now appears that all the <a href="http://www.artwoo.com/tag/marital+assets" rel="tag">marital assets</a> are to be spent-down. I have not seen specific regulations but it appears that the healthy spouse will be left without any assets if one of them gets sick. <br /><br /> Suggestions by seniors have been to transfer their assets to their children. Although this option is available, I'm not sure that it's a good option.<br /><br />What if the child decides to use the asset for themselves, what if they get divorced and the judge awards assets originally intended for the parents to the divorcing wife's decree, what if the child get's sued? <br /><br /> There are also <a href="http://www.artwoo.com/tag/tax+implications" rel="tag">tax implications</a>. If the assets are transferred to the child for less than fair market value, then it's a taxable gift. Even worse, if this type of transfer to the child is completed before the 5 years-look back, -is it a "<a href="http://www.artwoo.com/tag/fraudulent+conveyance" rel="tag">fraudulent conveyance</a>?" <br /><br /> Medicaid asset protection has to be done very carefully.  Planning in this area is evolving. There are a lot of eldercare law firms popping up all over the place. I have been approached by such a firm to send them clients. They claim that they can structure a new deal whereby the nursing home won't be able to attach assets even after they enter the nursing home. <br /><br /> I know this much, any method used to deflect assets from the original owner has to be done at it's fair market value. For example you just can't transfer your house from you to your child. There are tax consequences. Did you just sell your house? Or did you just gift your house? Who will determine the fair market value? Did you get a genuine appraisal? If therefore, it's at less than fair market value (willing buyer and willing seller, neither under compulsion to buy or sell, each acting in their best interest) did you just create a more challenging problem? <br /><br /> Any method whereby there's an element of strings attached, it's revocable and therefore you have done nothing to disassociate yourself from your asset. One can challenge your intent, to divert assets for the purpose of defrauding a potential creditor and failure to have filed a gift tax return has statutory penalties, and interest, worse- if Medicare intended, criminal? <br /><br /> I am aware of only one method of disassociating yourself from your asset (personal residence, your CD's, your investments, vacation spot) is to give it away. Period. You can gift it to your children, pay the tax and that's it. The problem is that you no longer have any control and you are at the mercy of your child's good intentions and a blessed spouse. Risky? You bet! <br /><br /> An irrevocable trust with an independent trustee (not related to you by blood or marriage) will fit the bill.  An irrevocable trust, is an irrevocable contract between you and the independent trustee to manage the assets for the benefit of all beneficiaries. You and your spouse can become beneficiaries along with your children and grand children. <br /><br /> Timing is extremely important. If the transfer (repositioning) of your valuable assets is done before the 5 years, chances are good that it will stand-up in court. What if it's before the 5 years are up? A daily newspaper is a real proof to this. Every day at least one such incidence is reported. <br /><br /> To safeguard the rights of disabled, certain laws have been formulated and acts have been devised by the American government. Under the umbrella of law, they have been given a considerable amount of protection. <br /><br /> In America, the <a href="http://www.artwoo.com/tag/disability+law" rel="tag">disability law</a> is regulated by the American with Disability Act (<a href="http://www.artwoo.com/tag/ada" rel="tag">ADA</a>). The provisions of this Act prohibits discrimination against people or individuals with any kind of disabilities. It protects them to face disabilities everywhere, be it office, home, educational institute or a public utility place. <br /><br /> Under the <a href="http://www.artwoo.com/tag/american+disability+act" rel="tag">American Disability Act</a>, disability is defined as a physical or mental impairment, which limits substantially some or all the major important activities of an individual. <br /><br /> Under this act, alcoholism is included as a <a href="http://www.artwoo.com/tag/type+of+disability" rel="tag">type of disability</a>. But the other undesirable social behaviors are excluded from being a part of this Act. For instance, various disorders in one's sexual behavior like pedophilia, compulsive gambling, <a href="http://www.artwoo.com/tag/transvestism" rel="tag">transvestism</a>, and pyromania are excluded. But ADA does not however lists all impairments under it. <br /><br /> Further, ADA aims for reasonable and equal accommodation for all the disabled without any biases. The departments and agencies that can enforce the provisions under ADA are the <a href="http://www.artwoo.com/tag/equal+employment+opportunity+commission" rel="tag">Equal Employment Opportunity Commission</a> and Department of Justice. Apart from them, the state can pass the disability statutes. The statutes that prohibit discrimination against people with disabilities include Fair Housing Act, <a href="http://www.artwoo.com/tag/individual+with+disabilities+education+act" rel="tag">Individual with Disabilities Education Act</a>, Rehabilitation Act and Air Carrier Access Act. <br /><br /> It is considered unlawful to discriminate any body on the aspect of denying the selling, renting or even accommodating a house, just because of an individual who is suffering from any kind of disability. This is all covered under the Fair Housing Act. <br /><br /> Under the Rehabilitation Act, there is prohibition of  discrimination on the basis of the programs that are conducted by the Federal agencies of the States.	The air carriers are prohibited to discriminate against people having any kind of disability, under the Air Carrier Access Act.
