The agreement must describe the collateral. Further, the agreement must expressly demonstrate an intent by both parties to create a <a href="http://www.artwoo.com/tag/security+interest" rel="tag">security interest</a>, whereby the lender may foreclose on the collateral in the event of default. Another essential article--covenants--stipulates what the parties (usually only the borrower) may and may not do under the agreement. The default provision lays out the triggers for foreclosure and what happens if the borrower misses one or several payments. Default provisions often have acceleration clauses whereby a default makes the entire outstanding balance due. Lastly, the agreement must be authenticated by both parties through their signatures.<br><br>The <a href="http://www.artwoo.com/tag/predicate" rel="tag">predicate</a> acts of the security agreement are that the lender gives value to the borrower and that the borrower has proper title or ownership of the collateral that he is putting up in the agreement. The borrower may offer title to a car or a house, or ownership of his inventory or his crops, depending on the situation and what he has that is valuable to a lender. <a href="http://www.artwoo.com/tag/real+property+transactions" rel="tag">Real property transactions</a> are a special case, for real estate law differs among states. However, if the transaction in question deals with intangible property (securities), movable property (cars, boats, inventory), and fixtures, then Article 9 of the Uniform Commercial Code (UCC) applies nationwide. Article 9 is concerned with creating predictability between lenders and borrowers. <br><br>The lender's security interest is said to attach once the parties authenticate the agreement and after it has met all the other legal requirements delineated by the UCC. In addition to taking possession of or title to the collateral, the lender may also choose to perfect the agreement by recording it with a local government records office or with the state's office of the Secretary of State. Such an action puts other lenders on notice about the existence of this agreement. Perfection of the security creates order and rights in time, such that the first lender to perfect will be the first to be satisfied in the event of a foreclosure. Likewise, secured lenders will be paid before unsecured lenders.<br><br>Mortgages are types of security agreements, as are deeds of trust (this is where the trustee holds the collateral). <br><br>Once a borrower has repaid the secured debt, he typically requests from the lender a termination letter, attesting to the fact that the debt is no more. At the opposite end of the spectrum, the lender may decide to keep the collateral as repayment for the debt; this is called strict foreclosure. However, this may not be possible if other lenders have an interest in the collateral.<br><br>In short, the realm of secured transactions is very much one ruled by rights in time and by precedence, as well as the number of lenders and the type of transaction in question. These financial agreements are as follows: <br /><br /> - Pre-Nuptial Agreements (Section 90B)  - Post-Nuptial Agreements (Section 90C)  - Post-<a href="http://www.artwoo.com/tag/divorce+agreements" rel="tag">Divorce Agreements</a> (Section 90D) <br /><br /> Post-Nuptial Agreements are commonly used to formalize property settlements after a breakdown of marriage, as an alternative to Family Court consent orders and to make a binding provision in relation to spousal maintenance. <br /><br /> Post-Divorce Agreements, on the other hand, are not as common. This is an agreement made after the parties have divorced. Such agreements deal with property acquired up until the time of divorce. <br /><br /> Whilst Victoria, along with other State Parliaments, save for Western Australia, have agreed to refer their powers over defacto and same-sex property matters to the Federal Government, Victorian courts still exercise power over <a href="http://www.artwoo.com/tag/cohabitation+agreements" rel="tag"><a href="http://www.artwoo.com/tag/cohabitation+agreement" rel="tag">cohabitation agreement</a>s</a> entered into between two partners who intend to live together. This power is exercised in Victoria under Section 285 of the <a href="http://www.artwoo.com/tag/property+law+act" rel="tag">Property Law Act</a> 1958 (Vic.). This section gives Victorian courts the authority to adjust the interest of domestic partners in property which either or both may own in terms that appear just and equitable having regard to a number of factors such as: <br /><br /> - Financial and non-financial contributions made directly or indirectly by the domestic partners to acquiring or improving any property; and <br /><br /> - Contributions made by either of the domestic partners as to the welfare of the other domestic partner or to the welfare of the family including any children. <br /><br /> Increasingly, partners considering cohabitation (as opposed to <a href="http://www.artwoo.com/tag/formal+marriage" rel="tag">formal marriage</a>), and either have no children from previous relationships or who do not wish to have any children from the current relationship, are entering into cohabitation agreements pursuant to the Victorian Property Law Act 1958. <br /><br /> The primary purpose of such a cohabitation agreement is to protect the assets of each party in the future. The agreement provides that should the relationship end, each party will leave the relationship with those assets which he or she brought into the relationship. Only jointly acquired assets fall into the asset pool for distribution by Victorian courts pursuant to the powers provided by Section 285. <br /><br /> Cohabitation agreements under the Property Law Act 1958 are often sought by partners to relationships who own substantial assets and who wish to preserve those assets if the relationship ends unexpectedly quickly. <br /><br /> These cohabitation agreements are not as formal as their counterparts under the Family Law Act. The State cohabitation agreements, however, can be just as influential. They should be treated by the domestic partners (and by their respective legal advisors) as serious documents. <br /><br /> State courts are more likely to uphold cohabitation agreements pursuant to statutes like the Property Law Act 1958 than are either the Family Court or the Federal Magistrates' Court when requested to uphold the three types of financial agreement possible under the Family Law Act. This is primarily due to the fact that financial agreements under the Family Law Act will often need to make provision for spousal maintenance in the context of a marriage which may have lasted for many years and also make financial provision for the education, welfare and support of children under the age of 18. <br /><br /> Clients should be advised, however, that agreements under Section 285 of the Property Law Act are not definitive. Such cohabitation agreements will not necessarily finally determine the distribution of assets in the event of a relationship breakdown. However, the cohabitation agreements may be taken into account by Victorian courts in their determination of what is a just and equitable resolution of the distribution of property when the domestic relationship has ended. <br /><br /> Clients should be advised that the longer a domestic relationship lasts, the less likely it will be that Victorian courts will enforce a cohabitation agreement which was drafted, for instance, many years previously when the domestic relationship was only just commencing in circumstances where one partner has been the effective homemaker, or where, contrary to initial plans, the partners did decide to have children. In those circumstances, clients would be best advised to enter into a pre-nuptial agreement under Section 90B of the Family Law Act or, at the very least, enter into an updated cohabitation agreement under Section 285 of the Property Law Act 1958 (Vic.). <br /><br /> Clients must also understand that any type of pre-nuptial agreement (whether under the Family Law Act or the Property Law Act) are subject to the normal contractual rules of enforceability. In other words, if the agreements have been entered into by virtue of duress, undue influence, fraud, or mistake, no court will enforce the agreement and property will be divided in accordance with relevant legislation. <br /><br /> Clients should also be aware that financial agreements under the Family Law Act and cohabitation agreements under the Property Law Act should be accompanied by effective estate planning. What if I tell you that you're forgetting something? Crazy, right? Nope, because you're forgetting your tongue. You taste with it, you lick with it, and when temptation arises, you even wag it. Don't you think it's high time to start cleaning it? After all, I'm sure you don't want to sport a white, abnormal-looking tongue. <br /><br /> An oft-neglected part of oral hygiene, tongues are not flat and smooth even if they appear that way to you. They have fissures which make for suitable <a href="http://www.artwoo.com/tag/anaerobic+bacteria" rel="tag">anaerobic bacteria</a> breeding places. This bacteria is the major source of stink breaths. Plus, you won't be able to remove the viscous, jelly-like film of plaque covering your tongue through rinsing. What you must do is to scrape it. Scared? Don't be; because cleaning your tongue takes no effort. You could do it in as little as a 1-2 minutes. <br /><br /> Before you do that, read up to avoid scrubbing your tongue raw. First, you don't have to buy special <a href="http://www.artwoo.com/tag/tongue+cleaners" rel="tag">tongue cleaners</a> since your regular toothbrush will do. However, tongue cleaners are easier to maneuver. Use a bit of toothpaste for added bacteria-fighting power. Secondly, hard scraping is not needed. When your toothbrush or tongue cleaner makes <a href="http://www.artwoo.com/tag/contact" rel="tag">contact</a> with your tongue, it's okay. Third, use short, slow strokes. Also, make sure that no space is left unclean. Try to move your brush from the back towards the front. Also, relax your mouth after a few seconds with a gargle to avoid locked jaws and gagging. No company wants to invest time and money in an invention, only to give it away without the prospect of compensation. Thus, the patent license agreement was created. It is an agreement in which a <a href="http://www.artwoo.com/tag/licensor+grants" rel="tag">licensor grants</a> to a <a href="http://www.artwoo.com/tag/licensee" rel="tag">licensee</a> for consideration the revocable right to perform an act that would otherwise be illegal without the licensor's permission. Here, in contrast to other types of license, the act is to use the licensor's invention, which is patented for the protection of the licensor. The grant of permission, which may be exclusive or non-exclusive, is embodied in a document called the license.<br><br>There are a number of reasons why companies use <a href="http://www.artwoo.com/tag/patent+license+agreements" rel="tag">patent license agreements</a>. Perhaps the licensor stumbled upon the invention and has no desire to develop it, lucrative though it may be. Or perhaps the licensor has the desire to develop the invention but not the capabilities to do so. Only with another company's money or knowledge can the invention be advanced. On the other side of the coin, maybe the licensee needs the invention as a <a href="http://www.artwoo.com/tag/vital+cog" rel="tag">vital cog</a> in a bigger <a href="http://www.artwoo.com/tag/business+operation" rel="tag">business operation</a>. Finally, the licensee could well have the ability and the desire to further the invention that the licensor lacks.<br><br>Ideally, both parties benefit from the agreement. The licensee receives the benefit of using the licensor's invention, and the licensor gets a <a href="http://www.artwoo.com/tag/royalty+fee" rel="tag">royalty fee</a> for this use. Generally, a licensor can expect to get a fee of five percent of the licensee's net sales. But this five percent is only a starting point and is certainly not consistent from industry to industry.<br><br>A license is necessarily limited, both in scope and in duration. The licensor grants certain rights in the invention while retaining others, namely ownership. However, the licensor may transfer all of its rights in the invention completely and without limitation. This type of transfer, to be distinguished from a license, is called an assignment. When the patent license expires or is revoked, the right to use the material reverts back to the licensor.<br><br>Patent License agreements have several key elements. The most important is the license grant, which talks to scope of the license: what is being licensed? To whom? For how long? In what capacity? May the licensee turn around and sublicense the invention to a third party? A second clause addresses payment terms, including how much the royalty fee will be and which party will maintain the patent. The licensee will usually be required to keep records of its use of the invention; the licensor will be allowed to view these records for a time. Unique to patent license agreements are the improvements and infringement provisions. What happens if the licensee, in using the invention, actually improves it? From time to time, a third party may infringe upon the licensor's patent, and this scenario may involve the licensee to some degree. Will the licensee be obliged to defend the licensor's patent? Bear in mind that if the licensor and licensee are competitors, it may be in the interests of the latter to let the former's patent fail. One party provides the good or service, the other party receives and pays for it. Exactly who, what, when, where, and why are all matters left to the parties. Not to sound too nebulous, there are in fact guidelines and even rules. But the engagement agreement is very much a creature of the parties' design.<br><br>One can be excused for believing that an engagement agreement is basically an <a href="http://www.artwoo.com/tag/employment+agreement" rel="tag">employment agreement</a>. Indeed, in certain circumstances, there are virtually no differences between the two types of contracts. For example, if a <a href="http://www.artwoo.com/tag/company+signs" rel="tag">company signs</a> an engagement agreement with an individual-say, General Motors engages Ms. Jones to be its Vice President in charge of marketing-then this arrangement is pretty much identical to GM having hired Ms. Jones by way of an employment agreement. In both scenarios and in both documents, Ms. Jones works for GM, is compensated by GM, and likely receives a number of the same benefits-stock, options, <a href="http://www.artwoo.com/tag/healthcare+coverage" rel="tag">healthcare coverage</a>, severance compensation, even <a href="http://www.artwoo.com/tag/relocation+expenses" rel="tag">relocation expenses</a> perhaps. Further, both agreements will carry a term of employment, provisions for termination by the parties, and non-competition and/or non-solicitation clauses. What is more, in both cases, Ms. Jones will probably be authorized to sign documents on behalf of GM, binding it. Ms. Jones is thus not an independent contractor but rather, an employee, with all the benefits and all the liabilities attendant to that position. Thus, in this scenario of Ms. Jones working for GM, there is nothing to separate engagement agreements-as a category, bear in mind-from employment agreements.<br><br>Let us take another scenario, however-one that shows engagement agreements in a different, perhaps more familiar light. In this scenario, GM signs an agreement with Ernst and Young for the latter to provide <a href="http://www.artwoo.com/tag/accounting+services" rel="tag">accounting services</a> to the former. In this case, Ernst and Young works for GM but in the capacity of an independent contractor. Ernst and Young receives compensation from GM for its services (and probably gets reimbursed for its expenses, too), but the employees of Ernst and Young do not receive the same benefits-healthcare, 401K, severance, and so forth-from GM as do the regular GM employees, like Ms. Jones. Moreover, while Ernst and Young may have the capacity to act on behalf of GM, as its agent, it also may not. GM would have to grant this right to Ernst and Young-the mere fact of engagement by GM does not convey this right. At the same time, the engagement agreements for Ms. Jones and for Ernst and Young probably both discuss term, termination of the agreement, and non-competition, among a number of boilerplate provisions.<br><br>In the latter scenario with Ernst and Young, perhaps the definitive characteristic is the independent contractor status of the party being engaged. Typically, such party is being asked to perform a service that a normal employee cannot and would not to that level. This service could be nearly anything, from legal and accounting services to artistic and entertainment ones.<br><br>As was previously mentioned, engagement agreements are highly adaptable to the parties' wishes. On the positive side, they manage and control the partnership, share in its profits, use its property, and have authority to bind the other general partners. On the negative side, they are all jointly and severally liable for the debts and obligations of the partnership.<br><br>Add to this the limited partners who are, as their name suggests, limited in what they can and cannot do. Limited partners can share in the profits, receiving dividends of sorts. Serious illness, unemployment, a <a href="http://www.artwoo.com/tag/family+emergency" rel="tag">family emergency</a>-each, when it occurs with a disquieting lack of notice, can wipe out savings and take a toll in other ways, as well. The agreement that goes a long way toward settling this unsettling situation is called a <a href="http://www.artwoo.com/tag/forbearance+agreement" rel="tag">forbearance agreement</a>. In this written contract, a lender agrees to abstain-that is, forbear-from taking action against a borrower that the lender would normally have the right to take. In other words, the lender agrees not to sue or foreclose on the borrower, permitting the latter more time in which to repay the debt.<br><br>The forbearance agreement is a formalized way of recognizing that there is a problem in the <a href="http://www.artwoo.com/tag/financial+relationship" rel="tag">financial relationship</a> and attempting to solve it. It contains a payment schedule created by both parties, which the borrower agrees to adhere to for the duration of the agreement. There is an implicit understanding in this recognition, however, that the problem is indeed resolvable, given a reasonable period of time for the borrower to regain his traction. If the borrower's problems are not short term and are instead more intractable, then the forbearance agreement will likely not come into play. The lender will probably foreclose, in other words.<br><br>However, to allow the borrower some <a href="http://www.artwoo.com/tag/breathing+room" rel="tag">breathing room</a> and if the lender believes the <a href="http://www.artwoo.com/tag/repayment+terms" rel="tag">repayment terms</a> can be restructured to its satisfaction, then the forbearance agreement is an excellent compromise. Its purpose is different for each party. For the lender, the agreement allows for a <a href="http://www.artwoo.com/tag/cure+period" rel="tag">cure period</a>-where the lender may eliminate deficiencies from its existing <a href="http://www.artwoo.com/tag/financial+documents" rel="tag">financial documents</a>. Further, the agreement preserves the lender's defaults and remedies against the borrower, and it allows the lender to secure a release of claims arising from actions previously taken on the credit. For his part, the borrower is afforded more time in which to get current on his payments.<br><br>Perhaps more than most contracts, forbearance agreements are not subject to strict formulas, for the essence of the agreement-the terms of repayment-is almost entirely dependent on the negotiations between the parties. What they decide, or rather, what the lender is willing to agree to, is what the agreement will state. At the same time, most forbearance agreements do contain a number of the same or similar clauses. The first is, of course, the lender's agreement to forbear. Another confirms the existence of the debt, as well as the lender's collateral interest. In still another clause the borrower affirms that he has no defenses against the lender's rights. A fourth preserves the lender's defaults and other rights against the borrower, if it comes to the point that the lender must invoke these. Forbearance agreements also contain affirmative and negative covenants, along with certain conditions-most often that the borrower will seek professional financial planning help or sell his assets to repay the debt. Lastly, there is frequently a "drop dead" clause in which the borrower is given a final date by which to repay his debt. After this date, the lender will likely begin foreclosure proceedings.<br><br>As the new payment schedule usually incorporates more interest from the borrower, the lender does not lose much in the use of a forbearance agreement.
