What he does not tell you is that his tax plans will essentially raise taxes on the poorest Americans. He also does not tell you that his taxes on the rich will not come even close to paying for more tax cuts for the middle class. He says that he will pay for his programs by closing corporate <a href="http://www.artwoo.com/tag/tax+loopholes" rel="tag">tax loopholes</a>. He does not say which <a href="http://www.artwoo.com/tag/loop+holes" rel="tag">loop holes</a> he will close. Many tax loopholes were created to encourage <a href="http://www.artwoo.com/tag/large+corporations" rel="tag">large corporations</a> to help the poor. Closing these loopholes will hurt many of the poorest of Americans.<br><br>There are two other major ways that Obama plans on taxing the poor. One is by raising taxes on corporations and second is by making businesses pay for insurance for people who do not work for their companies. Both of these programs will significantly impact the poor and especially the poorest of all Americans.<br><br>Obama like many Democrats, is relying on the general lack of understanding of how taxes work. They want you to think that they are taxing someone else. There is only one group of Americans that pay taxes, that is the individual <a href="http://www.artwoo.com/tag/tax+payer" rel="tag">tax payer</a>. Yes, you can tax companies and corporations but they are not the ones who pay the taxes. The taxes are paid by the people who buy their products or use their services. If you raise taxes on businesses they have no choice but to add the cost into the prices of their products or services. If they do not they go out of business. Below is an example of how taxing corporations affects prices. For the example I will use food because everyone including the poorest of the poor has to buy food.<br><br>The example is a can of <a href="http://www.artwoo.com/tag/pears" rel="tag">pears</a>. Since almost all farmers have incorporated to be able to stay in business, they will have to raise their prices. They send the pears to a packing house that is incorporated so they have to raise their price. A <a href="http://www.artwoo.com/tag/trucking+company" rel="tag">trucking company</a> takes the pears to manufacturer to can the pears, they have to raise their price to pay the corporate taxes. The pears are sent to a national distributor, who has mark up their price. The distributor sends the canned pears to the local grocery store, which is also incorporated, so they have to raise their prices as well. This means that at least 5 different corporations have had to raise their prices just so you can buy a can of pears.<br><br>It works this way for every product manufactured in America. It does not matter if it is food, cars, electronics cosmetics pharmaceuticals or anything else. If you raise taxes on corporations the consumer has to pay more for every product they buy.<br><br>The second way Obama plans on taxing the poor is in his health care plan. His plan calls for all companies (incorporated or not) to pay for health care not only for their employees but they will also have to pay into a pool for people who do not work for their companies. When you make companies pay for insurance for people who are not employed by the company then you raise their costs. They have no choice but to raise their prices to be able to make ends meet. Who ends up paying or the insurance for 45 million Americans? You do! Under Obama's plan, everyone will have to pay more, even the people who cannot now afford to feed and clothe their families.<br><br>To sum up there are three ways Obama's plan will affect the poor.<br><br>1. Closing corporate loopholes designed to help the poor.<br>2. Forcing the poor to pay for the many levels of price increases due to corporate taxes.<br>3. While stocks give investors part ownership of a company, bonds are loans made by investors to corporations or governments. Rather than benefiting from company profits the way that <a href="http://www.artwoo.com/tag/stock+holders" rel="tag">stock holders</a> do, <a href="http://www.artwoo.com/tag/bond+holders" rel="tag">bond holders</a> receive a fixed rate of return -- a fixed interest rate. Bonds only last for so long and have a termination date called the date of maturity. Also, they can take decades to mature, whereas <a href="http://www.artwoo.com/tag/stock+exchanges" rel="tag">stock exchanges</a> happen with lightning speed every day. If you are just looking to make a quick buck with high risk, go for stocks. In comparison, if you need stability, say, for a retirement, you might choose bonds. <br /><br /> 1. Risks Versus Rewards <br /><br /> As hinted at earlier, stocks have a higher rate of risk whereas bonds are more secure. Of course to say bonds are safer than stocks doesn't automatically mean that you will always make money on bonds. A bond is an investment - and as such it may not be paid back. US <a href="http://www.artwoo.com/tag/government+bonds" rel="tag">government bonds</a> are considered to be the safest type of bonds. <a href="http://www.artwoo.com/tag/blue+chip+corporations" rel="tag">Blue chip corporations</a> (those with established performance records that span over many decades) are also very safe <a href="http://www.artwoo.com/tag/bond+investments" rel="tag">bond investments</a>. Smaller corporations have a greater risk of defaulting on their bonds, but if the business goes bankrupt bond-holders are preferential creditors and will get compensated first. <br /><br /> 2. Trading Bonds <br /><br /> Traditionally, bonds were the exclusive trading realm of huge corporations and banks. Not any more - even a savvy investor can begin trading bonds with as little as $5,000. Bonds bought and sold after the initial issues are quoted in increments of $100. A bond that is listed at 96 is selling for $96 per $100 face value. <br /><br /> 3. Stocks Or Bonds? <br /><br /> Given what you have read so far, you might think that stocks are better for the short term and bonds for the long term, but the statistics do not lie. Bonds offer greater security and return on your investment than stocks, overall. The situation changes, however, when time spans of longer than 10 years are considered. The stock market has consistently outperformed bond investments by a large factor. This is because companies continue to increase in value and any short term fluctuations in the stock market become smoothed out. Overall, you should never put all your eggs in one basket - consider a bond as part of your portfolio to help cushion against market fluctuations. In order to stay competitive with the rest of the world the United States must take a closer look at their <a href="http://www.artwoo.com/tag/taxation+laws" rel="tag">taxation laws</a> and amend them as conditions warrant.<br><br>The article Overhauling the <a href="http://www.artwoo.com/tag/old+jalopy" rel="tag">Old Jalopy</a> by The Economist (No author identified) is about the increasing problem of high corporate taxes in the United States versus countries overseas. Hank Paulson the treasury secretary recently held a summit in Washington D.C. to address the fact that "our system is visibly lacking behind the best practices in the rest of the world." The article states that "If headline tax rates were all that mattered, America would be an unattractive place for companies to locate." In fact America's corporate tax rate of 35 percent, 39 percent when state tax is added is the second highest in the Organization of Economic Cooperation and Development (OECD). These high tax rates make a significant difference in where multinational corporations record profits and business is done.<br><br>The problem facing those who want to overhaul our current corporate tax system is the current political climate and trends towards reducing the middle class tax liability while increasing tax liability for the rich. The last thing the American public wants to see is lower taxes for multinational corporations. However the lack of the American people's willingness to accept a corporate tax cut lies in a lack of education. A study conducted by <a href="http://www.artwoo.com/tag/kevin+hassett" rel="tag">Kevin Hassett</a> and Aparna Mathur of the <a href="http://www.artwoo.com/tag/american+enterprise+institute" rel="tag">American Enterprise Institute</a> showed that a 1 percent increase in corporate tax rates result in a 0.8 percent cut in manufacturing workers wages. The study showed that in reality high corporate taxes are taking "a toll on the common man."<br><br>We now live in a truly international marketplace in which the world has never seen the likes of before. In this marketplace the competition is fierce for multinational corporations to find ways to cut costs and stay ahead of the competition. This article brings to light a facet of the new international marketplace that many don't think of, taxation. With it becoming easier than ever for corporations to move across international lines, the tax code may become a major player in where a company decides to headquarter itself and declare profits. If the United States does not stay competitive with the rest of the world we may start to see corporations move their headquarters off our shores to reduce their tax liability. As countries lower corporate tax rates to attract more international business for example China at 25 percent and Ireland at 13 percent, (Overhauling the Old Jalopy by The Economist) the United States become increasingly less attractive to both investors and to corporations who are already here.<br><br>Hopefully our citizens and politicians will soon realize that there are more to tax cuts than what we are immediately exposed too, and that to continue to ignore the fact that US corporate tax rates are well above the standard set by the rest of the world will do nothing but stifle growth in our country. Aside from the assets under the <a href="http://www.artwoo.com/tag/private+interest" rel="tag">private interest</a> foundation which allows the natural owner to control his assets under the name of the foundation, Panama also provides law on Panama Anonymous Corporation. In fact, Panama is the only country in the world who allows such anonymous existence of corporation for the <a href="http://www.artwoo.com/tag/singular+purpose" rel="tag">singular purpose</a> of operating through the use of actual shares of stocks instead of actual name of the natural owner. With the Panama Anonymous Corporation, the state does not generally know the owner behind the corporation aside from the fact the persons involved in the corporation have the shares.<br><br>There are various advantages for establishing Panama Anonymous <a href="http://www.artwoo.com/tag/corporations" rel="tag">Corporations</a>. One is that the natural owner will have full control of the assets of the corporations that the state or the other persons involved may not know of. The attorneys may know who the owners of the corporation are but they would not know to whom did the owner transfers the shares to. The certificate of stocks of the corporation needs not to have names of the owners or the bearer. What is carries is the number of the certificate. Second advantage is that the corporation is not subject to taxes and does not necessarily have <a href="http://www.artwoo.com/tag/tax+returns" rel="tag">tax returns</a> files in Panama. The certificate of stocks are not also limited to be in Panama but can also be carried abroad.<br><br>The Panama Anonymous Corporations can still function as a <a href="http://www.artwoo.com/tag/legal+entity" rel="tag">legal entity</a> in Panama. However, it does not require registry in the Public Office in Panama because the owners and the members of the corporation are not necessarily recorded and can even be transferred easily. What the corporation needs to do is to contact an attorney that will legalize the operation by identifying the members and the directors. However, among the names and directors, the attorney cannot identify who is the real owner of the Panama anonymous corporation.<br><br>As a legal entity, the Panama anonymous corporation can own a property from locations that it chose worldwide. If the corporation wishes to sell, it just has to transfer the corporation's share together with bills signed by the directors of the corporation stating the sale made. Aside from properties, the Panama anonymous corporation can also acquire other assets like cars, equipments, jewelry, and can even own bank account, all without revealing the real names of the natural owners. This way, there is high protection of assets under the anonymous name. But the transactions can be monitored by the attorneys. The required signatories should bear a name which the attorneys will know but will not be revealed if it the natural owner of the corporation. In essence, the Panama anonymous corporation is controlled by the anonymous owner. But the transactions and operations can be assisted by attorneys who ensure that the transactions are legal and valid.     <content:encoded><![CDATA[The Federal Government has announced widespread changes to the Australian workplace relations system, by relying upon one of the heads of power under the Australian Constitution, namely the Corporations Power. This allows them to make laws with respect to Australian companies including constitutional corporations. It is their stated desire to have one set of laws governing workplace relations for the whole of Australia.  Effectively where this is not possible the Australian Government wishes to see the states freely give up their powers in this area and refer them to them. This legislation deals with fair pay, workplace agreements, termination of employment, the role of various institutions, strike action, award simplification, further limits on union power, the rules governing entitlements of employees on transmission of business and the role of workplace inspectors. <br /><br /> Previously the area of employment law and more particularly that of <a href="http://www.artwoo.com/tag/unfair+dismissal" rel="tag">unfair dismissal</a> was governed in NSW by both the NSW <a href="http://www.artwoo.com/tag/industrial+relations+act" rel="tag">Industrial Relations Act</a> and the Federal <a href="http://www.artwoo.com/tag/workplace+relations+act" rel="tag">Workplace Relations Act</a>. In summary, remedies available under both Acts are almost identical in respect of unfair dismissal, <a href="http://www.artwoo.com/tag/constructive+dismissal" rel="tag">constructive dismissal</a> and unlawful termination. One of the major differences was where claims were brought under section 106 of the <a href="http://www.artwoo.com/tag/nsw+industrial" rel="tag">NSW Industrial</a> Relations Act which allowed for unfair contract claims to be brought in circumstances similar to those which existed for unfair dismissal. In January 2005 there was a major change made to the Federal Workplace Relations Act which brought into play new sections which deal with the rights of independent subcontractors to bring claims based on <a href="http://www.artwoo.com/tag/unfair+contracts" rel="tag">unfair contracts</a>. <br /><br /> The essential difference was that section 106 dealt with strict employment contracts whereas the Federal Workplace Relations Act only provided protection to independent contractors. As of 27 March 2006 there has been a fundamental change with the new Workchoices legislation coming into effect. Businesses with up to 100 employees will be exempt from unfair dismissal claims whereas larger businesses will not. That said, bigger businesses are afforded a greater protection due to the extension of the probationary period for new employees from three to six months. This provides these larger corporations with the opportunity to get to know their employees better before deciding whether to keep them or not. Employees terminated during this period will not be able to bring unfair dismissal claims even where they have been made redundant.  Constructive dismissal claims are available in very limited circumstances and unlawful termination claims remain including discrimination on the basis of race, colour, sex, pregnancy and disability. <br /><br /> In Victoria the Kennett Government referred its power in the Industrial Relations environment to the Federal Government some years ago. In short all Victorian and territory businesses are covered under the new system because of this referral and not because the Federal Government is relying upon the corporation's power. All employees of constitutional corporations are covered by the system including all corporate businesses in all other states. According to the Federal Government approximately 85% of all businesses will be picked up although there is agitation by a number of state governments to prevent this occurring. There is little doubt that all unincorporated businesses will fall outside the system because they are not corporations. <br /><br /> Although these changes are supposed to lead to a simplification of the system this has not in fact occurred. There is a dual system operating both federally and within some states.  Although corporations will be picked up, sole traders, partnerships and trusts will not, including doctors, farmers and some sporting groups to name but a few. In some cases the disenfranchised will be able to bring actions for breach of their employment contract and perhaps under the Trade Practices Act. However, most of the tools used to support the EVE Online closed economy still remain and one of the major ones is the EVE Online Market, which acts like a "stock ticker" on commodities throughout EVE Online's entire community, giving <a href="http://www.artwoo.com/tag/commodity+prices" rel="tag">commodity prices</a> and demands for same throughout the entire game. <br /><br /> This market, more than anything else, is what replaces the need to do missions. There is always demand for commodities, the demand for the commodities is reflected in the EVE Online market, and there are always risk/reward trade offs. Manipulating these markets, and the demand generated for commodities, is one of the best ways to become extremely wealthy in EVE. <br /><br /> The way EVE Online Markets work, a given node (either player character driven or computer driven) will post a price for a given commodity. Contracts players (and player corporations) can put on the market include auctions, item exchange, loans and courier duty. <br /><br /> Corporation Contracts allow corporations (the EVE Online equivalent of guilds on other games) to put work offers out for members and non members (and other corporations) to meet, allowing the resource exploitation and manufacturing model to extend in ways that add significant play depth. This solves the tricky problem of how corporations from different alliances can do business with each other, and paves the way for corporation and alliance trade across the EVE universe. <br /><br /> To create a contract with the EVE Online market tools, you'll need to put up 100,000 ISK as a deposit to put up a public contract; this is also used to pay for the work done. The reason being is that they are the most complex to operate. You must hold annual stockholder and Board of Directors meetings, and keep track of corporate minutes. In addition to the more complex record-keeping C corps are the most expensive corporate structure to operate. You will have to file to different tax returns, one for yourself and one for your corporation. Depending on your state you may have to pay additional taxes, like in the case of California. It's also important to realize that double taxation is a possibility, without proper planning, this adds to your costs. Now, these negatives don't come without their positives. C corporations offer the most benefits of all the corporate structures. You get full deductions for health and disability insurance. Full deductions for medical expenses, above and beyond any existing coverage. Stock options are treated favorably, due to capital gains. Moreover, life insurance, pension plans, and dinner allowance are just some of the many benefits available.<br><br>The S Corporation offers many of the fringe benefits associated with C corporations, but without a lot of the headaches. You don't have to deal a double taxation, and income and/or losses flow directly through to the owners. You are, however, limited to fewer than 75 stockholders, the stocks must be United States owned, must be a domestic corporation, and only offer one class of stock. Much like to C Corporation you must keep corporate minutes, and you must hold stockholder and Board of Directors meetings annually. The most attractive benefit the S Corp offers is the self-employment tax benefit. With S corporations you can save up to 50% on your Medicare and Social Security taxes. If you make more than the $102,000 (2008 limit) your Social Security savings will be nonexistent.<br><br>The Limited Liability Company, or LLC, is popular for many small businesses, as it is the easiest to administrate. You do not have to hold board of director meetings, stockholder meetings, or keep track of corporate minutes. LLC's offer superior liability protection. There are also no restrictions as far as member numbers, foreign investors, like the case is with an S corp. The Limited Liability Company is the preferred choice when it comes to businesses that deal in real estate. Real estate gains are taxed at the capital gains rate within an LLC, whereas C corporations are taxed at the corporate tax rate. Now, the downside to an LLC is that you don't get the self-employment tax benefits. So, if you make considerably less than the $102,000 limit, you may be better off with an S corp. If you are considering a Limited Liability Company it's important to check with your specific state for LLC specific taxes.<br><br>The above corporate structures come with their benefits and drawbacks. The important thing when selecting an appropriate corporate entity is to find out what's best for your individual business.     <content:encoded><![CDATA[For some time, clients have known that law firms such as mine consistently oppose efforts by big corporations, car dealers, credit card companies and the like to deprive consumers of their rights to have their disputes decided in a court of law with "binding <a href="http://www.artwoo.com/tag/arbitration+agreements" rel="tag"><a href="http://www.artwoo.com/tag/arbitration+agreement" rel="tag">arbitration agreement</a>s</a>" often hidden in consumer finance and purchase contracts. You rarely see the <a href="http://www.artwoo.com/tag/binding+arbitration" rel="tag">binding arbitration</a> agreement in anything you sign; in fact, sometimes big corporations <a href="http://www.artwoo.com/tag/trick+consumers" rel="tag">trick consumers</a> into "signing" binding arbitration agreements by putting them into fine-print bill-stuffers so they're not read. These "agreements" provide that you have agreed to binding arbitration and a waiver of any class action remedies if you even use your credit card after having received the bill-stuffer for a single charge. Fair? Hardly.<br><br>Big corporations have for years argued that binding arbitration is really fair, and that's why big corporations are really doing everyone a favor by depriving them of their right to choose to go to court. Mind you, my firm is not opposed to choice: if a consumer wants to go to binding arbitration with a single arbitrator or retired judge, and wants to go there voluntarily, we're happy to go that route, but we always insist that the client should have the choice.<br><br>Binding arbitration agreements deprive consumers of the choice to go to court. That's precisely what they're designed to do, and that's why big corporations, car dealers, etc. hide them in small print in the midst of the multi-page <a href="http://www.artwoo.com/tag/consumer+contracts" rel="tag">consumer contracts</a> that they force people to sign.<br><br>Some of my clients, however, have posed the question to me: what is unfair about binding arbitration? The arbitrator is supposed to be fair, right? Well, the answer is no. Corporations usually use captive arbitration providers, such as JAMS, NAF (<a href="http://www.artwoo.com/tag/national+arbitration+forum" rel="tag">National Arbitration Forum</a>) or AAA (<a href="http://www.artwoo.com/tag/american+arbitration+association" rel="tag">American Arbitration Association</a>), where the corporation, NOT the consumer, is the repeat customer. The judges know that their paychecks and their repeat business comes from the corporations, not from the consumers, so these forums are hardly impartial.<br><br>If you have any remaining doubts about whether these forums are impartial, consider one of their biggest proponents: Dick Cheney. Our venerable Vice President has done pretty much everything within his power, and quite a few things very much outside of his power, to make a mockery of our system of justice. His recent refusal to comply with legal and congressional subpoenas is but a "tip of the Cheney iceberg," towards which our ship of state is sadly headed.<br><br>Cheney's distaste for pesky little things like constitutional guarantees, the Bill of Rights and due process of law date back to his Halliburton days, if not before. In the 1990's, when Cheney was CEO of Halliburton, he tricked all of the employees of Halliburton and its subsidiaries into "signing" binding arbitration agreements simply by showing up to work. In other words, the company sent out a fine-print notice indicating that by the simple act of showing up to work, you had consented to waive your right to trial by jury and consented to having any disputes against Halliburton decided by in a binding arbitration. Halliburton has a long history of terminating workers who have filed worker's comp claims and has a reputation of firing or laying off "the old, the sick and the halt," so it's little wonder Halliburton decided that none of its employees deserved any right to a jury trial.<br><br>Fast forward to 2005, and Jamie Leigh Jones, an employee of Halliburton subsidiary KBR, goes to Iraq and encounters a slightly upsetting employment situation: she is drugged and gang-raped by her fellow employees, who then lock her in a shipping container and warn her that if she tries to go for medical treatment, she'd be fired. The US Embassy eventually had to free her from the shipping container. Jamie had evidently managed to contact her father, who, after having no luck pursuing her daughter's protection or safety with KBR or Halliburton, called his US Representative, Ted Poe. Representative Poe similarly had no luck with calling the company, so Rep. Poe had to involve the US Embassy. Obviously, there are embassy witnesses to the allegations.<br><br>When Ms. Jones tried to sue in court...SURPRISE!!! Halliburton invoked its binding arbitration clause, and Ms. Jones cannot pursue her claims against her employer in a court of law.<br><br>All thanks to Dick Cheney.<br><br>So, if you ever ask me in the future why I oppose involuntary binding arbitration, or if I detect that you might be buying the corporate PR messages about how wonderful it is, I'll simply respond: would you want your consumer dispute against a corporation decided by Dick Cheney?<bio>Robert F.
